Stora Enso proposes six members for board of new forest company ahead of demerger

HELSINKI (News release) -- Stora Enso Oyj has proposed six members for the Board of Directors of the new forest company to be separated from Stora Enso through a planned demerger in the first half of 2027.

Their collective experience will support the New Company's commitment to strong governance and sustainable growth," says Marcus Wallenberg, Chair of Stora Enso's Shareholders' Nomination Board.

Johan Trolle-Löwen, born 1959, Swedish citizen, is proposed as Chair of the Board. He holds a Master of Science in Engineering and Industrial Economics and is CEO of Sjösa Förvaltnings AB since 2000. He previously served as CEO of Atlas Copco Tools AB and has chaired the Board of Kopparfors Skogar AB since 2018.

Jannica Fagerholm, born 1961, Finnish citizen, is proposed as Vice Chair. She holds a Master of Science in Economics and is Managing Director of the Signe and Ane Gyllenberg Foundation since 2010. She serves as Vice Chair of the Boards of Mandatum plc and Solidium and is a board member at Sanoma, Kesko, and other Finnish companies.

Helen Fasth Gillstedt, born 1962, Swedish citizen, holds a Master of Science in Economics and serves on the boards of Handelsbanken Fonder, Munters, PowerCell Group, and Sortera AB. She has experience in energy, finance, and sustainability.

Magnus Fernström, born 1981, Swedish citizen, holds a Master of Science in Finance and Economics and is Investment Director at FAM since 2020. He has previous experience as Investment Manager at FAM and as Special Adviser at the Swedish Ministry of Enterprise.

Timo Mäkinen, born 1991, Finnish citizen, holds a Master of Science in Industrial Engineering and Management and is Investment Manager at Solidium Oy. He previously worked for Boston Consulting Group and EY in management consulting roles.

Catharina Stackelberg-Hammarén, born 1970, Finnish citizen, holds a Master of Science in Economics and is Senior Vice President of Knowit Insight Oy. She founded Marketing Clinic Oy and held leadership roles at Coca-Cola in Finland and the Nordic region. She chairs the Board of Harvia and Alma Media Corporation and serves as a board member of Royal Unibrew A/S.

The proposed members will be nominated in the Demerger Plan as the inaugural Board of Directors for the new company, subject to approval by Stora Enso's Extraordinary General Meeting.

Stora Enso announced earlier that the new company will hold 1.2 million hectares of forest land in Sweden with a fair value of $5.7 billion as of 30 September 2025, forming Europe's largest listed pure-play forest company. The demerger remains subject to shareholder and regulatory approvals.
